Cellular International Terms & Conditions

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE ACCESSING THIS WEBSITE OR USING OUR SERVICES. BY ACCESSING THIS WEBSITE OR USING OUR SERVICES, YOU AGREE TO THE TERMS AND CONDITIONS CONTAINED HEREIN. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS, YOU MAY NOT USE THIS WEBSITE OR OUR SERVICES. Cellular International.com, LLC, ("Company") maintains this Website, ("Site"), www.cellularinternational.com and all pages therein. Individuals or businesses using this Site or other services of the Company (referred hereinafter as 'Customer') will be bound by the terms and conditions set forth below. The Company may change these terms and conditions without notice to the Customer. Notices will be posted on the site as changes may occur.

TERMS OF USE

The Company's services can be used to place the following types of calls: in-state and state-to-state consumer calls where the Company is authorized to carry such calls; outbound international calls from the U.S. to over 200 locations around the world; and Directory Assistance calls. Service cannot be used to place 500, 700, 800, 888, 877, 866, 855, 900 or 976 number service calls, or to place certain operator-assisted calls such as third-party-billed or collect calls.

CUSTOMER REGISTRATION

To access the services provided by the Company, each Customer is required to register on the Site. The Customer must provide accurate, current and complete information as requested on the "Sign Up" and "Create Your Own Account" webpage. The Customer must be 18 years of age and must provide accurate information. If an individual is registering on behalf of an entity, such individual represents that he or she is fully authorized on behalf of the entity to register for service with the Company.

COMPANY USAGE RATES

Charges for all calls are billed in U.S. dollars. Company usage rates are subject to change without notice. All domestic and international calls are billed in one-minute increments. Partial minute calls will be rounded up to the next full minute. Calls are billed from approximately the time the called party answers until approximately the time calling party presses "End" or the other party disconnects from the line. Connected calls to fax machines, answering machines and voice mail will be charged in the same way. Directory assistance calls are billed on a per call basis. Company usage rates do not include current any mobile service provider applicable charges. In many countries, international telephone carriers charge higher prices to terminate calls to a wireless device or special service lines. For this reason, the Company may charge higher rates for these calls. To confirm current usage rates, the Customer should refer to posted "Rates" on the Site.

AVAILIABLITY OF SERVICE

The Company's services are subject to account approval at the Company's sole discretion. The Company may choose not to provide service to certain countries or calling areas at its sole discretion. In addition, the Company may at any time prevent the use of its services for any reason, including fraudulent calling patterns, excessive usage, billing irregularities or unlawful use. If the Customer's credit card is invalid or the issuer declines payment at the time a charge is attempted, the Customer will not be able to use the Service until account is paid in full.

BILLING

The Company will provide a detailed billing summary to the Customer on-line. Billing cycle dates are calendar month end and may change without notice. All charges will be "Pre-paid" and will automatically be billed and posted to the Customer's credit card account of choice immediately. No additional notice or consent will be required for charging service use to Customer's credit card. If the Company is unable to collect the full amount due on Customers account in a single transaction, the Company may attempt collection by processing several smaller charges on Customer's credit card.

ALL CHARGES

The Customer is responsible for paying all charges to Customer's account, including, but not limited to: long distance, features, directory assistance, taxes, surcharges or other fees. If an individual activates service on behalf of an entity but was unauthorized to do so, such individual will be personally responsible for all charges to the account and will be fully bound by this Agreement as though the individual had activated service on his or her own behalf.

ROAMING

Cellular International is not responsible for 'roaming charges' to access our system billed by your cellphone or landline phone company. When using a cellphone to call one of our domestic or international access numbers, any charges occurring on your cellphone carrier bill are not the responsibility, liability, or in anyway, the responsibility of Cellular International, and Cellular International will be held harmless of all charges.

UNAUTHORIZED USE OR STOLEN EQUIPMENT

If Customer's phone is stolen or if Customer becomes aware of unauthorized use of the Company's service, Customer must notify Company immediately to suspend service. Customer is responsible for all charges incurred until service has been suspended.

NOTICE OF CANCELLATION AND REFUND CONDITIONS

This Agreement may be terminated by either party without notice at any time for any reason. Customer may cancel service at any time by calling our customer service department, notifying us in writing at the address contained on this site or by submitting a cancellation notice online. All service will be canceled immediately as of receipt of notice. Following cancellation, Customer is responsible for paying all charges owed on account including but not limited to: long distance, features, directory assistance, any taxes, surcharges or other fees. Refunds will be issued only if (1) customer has an unused balance owing in their account; (2) Customer or Company has no disputes or claims; (3) all terms of this agreement are abided by. Refunds will be submitted to Customer's current method of payment. Notification to customer will be by Customer provided email address.

CUSTOMER AND COMPANY DISPUTES

Disputed amounts can be submitted by contacting customer service by phone or by writing to the address contained on our Site. All disputes must be received within 60 days after the date of billed dispute record. If Customer does not dispute a charge within that timeframe, the Customer waives the right to challenge the charge.

NO WARRANTIES/LIMITATION OF LIABILITY

1. COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THE SITE OR THE SERVICES PROVIDED BY COMPANY.

2. Company makes no representations or warranties, express or implied, concerning any transaction conducted by Customer through Company's services or the Site. Customer is solely responsible for any transactions with third parties conducted through the Site or through Company's services.

3. Company makes no warranty, express or implied, that its services will be available at any particular moment. Company provides its services on an 'As Is, As Available' basis. Company shall not be liable for any alleged damages of any nature resulting from any disruption in services provided by the Company or in the Site.

4. Company shall not be responsible for any damages of any sort to Customer's property resulting from the transmission of any data, including, but not limited to, any computer viruses, to Customer's phone, computer or other property. Any material downloaded or otherwise obtained through the use of the Site or Company's Services is done at Customer's own risk and Customer is solely responsible for any damage to Customer's telephone or computer system, including any claims for loss of data.

LIMITATIONS OF LIABILITY

TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, COMPANY IS NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, ELECTRONICALLY TRANSMITTED ORDERS, OR OTHER ECONOMIC ADVANTAGE (EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING, BUT NOT LIMITED TO, ANY CLAIMS ARISING OUT OF THE FOLLOWING:

(i) THE USE OF OR THE INABILITY TO USE THIS SITE OR COMPANY'S SERVICES; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SITE OR COMPANY'S; (iii) UNAUTHORIZED ACCESS TO YOUR ACCOUNT WITH COMPANY; OR (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY.

CHANGES TO THIS AGREEMENT

We may amend the terms of this Agreement upon advance notice. If Customer does not agree to the amendment, Customer may terminate the Agreement immediately and Customer will not be charged any early cancellation fee. If you use the service more than 30 days after Company has notified customer of a change, Customer agrees to that change.

DISPUTES

California law and controlling U.S. Federal law govern any action relating to these Terms and Conditions without regard to any jurisdiction's choice of law rules. You agree to submit all such disputes to the personal and exclusive jurisdiction of the state and federal courts located within the County of Ventura, California USA. Customer also waives any right to recover punitive or exemplary damages from Company and any right to pursue any claims on a class or consolidated basis or in a representative capacity.
